Tempra Terms of Service

Effective date: October 7, 2026

Last updated: October 7, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and Jason Chan, doing business as Tempra (“Tempra,” “we,” “us,” or “our”). They govern your access to and use of Tempra's websites, hosted browser, AI-assisted job-application automation, account, subscriptions, and related services (collectively, the “Service”). Our Privacy Policy is a separate notice explaining how we process personal information. These Terms do not reduce any privacy commitment, right, or obligation stated in that notice or provided by applicable law.

Start here. Tempra’s application automation currently means: you pick a supported Workday, Ashby, or Greenhouse job, we open a hosted browser, we ask Anchor to record it, and an AI agent fills and can submit the application. For applications opened through Applications, Pause-before-Submit is a best effort, not a promise. Jobs-tab Autopilot submits without a review step after your separate acknowledgment. Confirming a new Autopilot batch commits its requested application slots and reserves their credits immediately; the batch cannot ordinarily be cleared or cancelled. Each slot keeps its credit through the original attempt and up to three different matching replacements. A Submitted result consumes that credit; a slot that ends without a Submitted result returns it under Section 11. Optional product emails are a separate checkbox, not part of these Terms. Deleting your account asks Clerk to cancel paid plan items; that request is not a billing receipt. A footer link is not agreement.

1. Acceptance and eligibility

Before Tempra will create, open, or start an application for you, you must affirmatively agree to the current Terms and acknowledge the current Privacy Policy and AI Disclosure through separate unchecked controls. Tempra stores the document versions, your account, and the UTC acceptance time and records an audit event. A material version change requires acceptance again. If you do not agree, do not use application automation. Purchase, continued use, or a footer link is not a substitute for affirmative acceptance. Optional product-update email is a separate, unchecked choice. It is not required to accept these Terms.

You must be at least 18 years old and legally able to enter this agreement. You may use the Service only for your own lawful job search, unless Tempra expressly authorizes another use in writing. If applicable law gives you nonwaivable consumer rights, these Terms do not take them away.

2. What Tempra does

Tempra is applicant-directed software that helps prepare job applications on supported third-party employer and applicant-tracking websites selected by you. Supported application flows include Workday, Ashby, and Greenhouse, subject to the supported links and features shown in the Service. Jobs-tab Autopilot supports Ashby and Greenhouse. The Service can open a hosted browser, interpret application pages, use your selected resume, any academic transcript you make available for applicable upload questions, and career and personal profile, generate or select answers, type into fields, choose options, upload files, and click controls used to progress through an application.

Tempra offers this functionality as an Agent as a Service: a customer-directed electronic agent receives the application goal and the information and authority you provide, evaluates changing page context, selects steps, and executes actions through software tools with limited supervision. “Agent as a Service” describes how the product operates; it does not make Tempra your lawyer, fiduciary, recruiter, employment representative, or attorney-in-fact and does not remove rights or duties imposed by applicable law.

Tempra provides software to applicants. It does not act on behalf of employers, source or screen candidates for employers, rank applicants for employers, conduct background checks, or make hiring decisions. Tempra does not provide placement, legal, or immigration advice. Tempra is not affiliated with or endorsed by any employer or applicant-tracking platform unless we expressly say so. Employers independently decide whether to permit automation, accept or review an application, contact an applicant, conduct an interview, make an offer, sponsor a visa, or hire anyone.

Tempra is an autonomous application agent. For applications opened through Applications, the interface attempts to return the hosted browser to you for review when it recognizes a final-submission stage. That review opportunity is a best-effort feature. It is not a promise that the agent will pause or that nothing will be saved, disclosed, advanced, accepted, certified, or submitted before you can review it.

3. Your application instruction and limited authorization

Opening the application and starting automation are separate instructions. After you select a job and resume, accept the separate unchecked application-authority and recording controls, and press Open application, you authorize Tempra and its service providers to create the hosted browser, navigate to that application, process your sign-in and other browser input, and request the disclosed continuous visual recording. When Anchor honors the requested configuration, recording begins when the hosted browser opens, before you sign in or press Start automation. When you later press Start automation, you instruct Tempra to perform the automated preparation actions below for that application. Tempra records those two notice versions separately and checks application authority again before Start. Those events are not acceptance of unrelated Terms, billing, sensitive-data, or employer-certification terms.

Jobs-tab queues use a separate confirmation flow. When you acknowledge the automated-submission notice and confirm the selected jobs or Autopilot batch, you authorize Tempra to open, start, fill, and submit each queued Ashby or Greenhouse application without your review as execution slots become available. Credits for newly confirmed queue items are reserved at confirmation. That confirmation supplies the application-specific instruction for those jobs; you do not press Start separately for each one. Tempra records the current automated-submission notice version alongside the application-authority and recording versions. A submitted application cannot be recalled through Tempra.

For a new Autopilot batch, the confirmation also authorizes a different matching internship in the same selected role when an attempt fails or cannot start, up to three replacements per originally requested application slot (four attempts in total). Replacements are limited to the matching candidate pool disclosed and recorded at confirmation; Tempra does not expand that authority to unrelated roles or later additions to the Jobs board. Replacements do not increase the requested number of application slots or charge another credit. Jobs you select individually or through multi-select do not receive automatic replacements.

Review the commitment before confirming: a new Autopilot batch and its unfinished slots cannot ordinarily be cleared, cancelled, or withdrawn through queue or individual-application controls. A temporary account or service blocker pauses unfinished work; it does not cancel the commitment or release its reserved credits. If a required notice changes, work can remain paused until you acknowledge the notice required to continue. This rule does not remove account-deletion controls, applicable privacy rights, required consent withdrawal, mandatory consumer remedies, or Tempra's ability to stop work for security or legal reasons. Contact jason@usetempra.com if an application must stop for one of those reasons. Ordinary cancellation rules for applications opened through Applications remain separate.

New queues use a copy of your last valid saved profile captured at confirmation. Unfinished profile edits are not that saved copy, and later profile edits do not change the inputs for the queued jobs or their authorized replacements. Complete and save a valid profile before confirming. Review the selected resume and any transcript as well. Historical queue items restored after an earlier queue failure can instead capture the saved profile and reserve a credit when admitted, as disclosed for those restored items; they receive no automatic replacement authority from restoration alone.

Across those steps, you instruct and authorize Tempra and its service providers to:

  1. Open and operate the selected employer website in a hosted browser.
  2. Process the selected resume and any academic transcript made available for the application through the hosted browser and upload them to the employer website where applicable. The current answering path does not intentionally attach the PDF itself to an AI request merely to perform the upload, but filenames, resume- or transcript-derived information, and page text displayed or autofilled on the employer page can appear in text or screenshots later processed by AI.
  3. Process your saved career and personal profile, including optional sensitive fields you chose to provide, together with employer questions, choices, page text and structure, screenshots, information already visible or entered on the page, and application-session state. A model request can contain the entire saved profile even when the immediate task concerns one question.
  4. Send the profile and application information described in item 3 to one or more configured AI providers identified in the current provider notice, including configured fallback providers, to interpret the page and copy, infer, generate, or select responses. Current answering uses DeepSeek as the primary model and Google Gemini as a fallback. Vision and page-helper routes can also use Alibaba Cloud Qwen and OpenAI.
  5. Enter, select, save, upload, advance, and submit information and click application controls on your behalf, including when the Service does not recognize that a particular action will cause submission.
  6. Create and retain the diagnostic records described in the Privacy Policy and request a continuous MP4 visual recording of the hosted browser session for support, security, debugging, quality assessment, and improvement of Tempra. The managed application workflow currently requires that recording request. A recording file exists only when Anchor honors the request and retains the result.

This instruction is limited to the application you start, the jobs you select and confirm in the Jobs-tab queue, and the bounded matching replacements you separately authorize for a new Autopilot batch. Review your profile, selected documents, preferences, and instructions before confirming a queue, because Autopilot does not offer a review step for each application. By pressing Start automation or confirming the separately acknowledged Jobs-tab queue, you appoint Tempra's software and AI agent to take the application actions described above on your behalf and authorize those actions to result in an employer submission, whether submission occurs as the expected result of advancing the application or because the agent, site, or software treats a control differently than anticipated. You agree to treat a resulting submission as your application and the agent's entries and selections as actions taken under your instruction. This is not blanket authorization for unrelated applications or payments and does not replace a separate consent required by privacy or other law.

Because application forms can contain background-check permissions, electronic signatures, employer arbitration terms, sensitive disclosures, talent-community enrollment, or other legally significant selections, you must keep your profile instructions current and monitor and review the application whenever the Service gives you that opportunity. A general automation authorization does not waive a separate consent that applicable law requires Tempra itself to obtain.

Tempra records the account, job URL, selected document references, profile snapshot, mode, and whether automated final submission is permitted. Versioned acceptance and application-authority records identify the notices acknowledged and associated timestamps; application records track Start, cancellation, and any recorded submission confirmation. These records are evidence of the instructions received, not a complete recording of every screen, click, or notice text.

Information may be disclosed to or saved by an employer before final submission as fields are entered, files are uploaded, or pages are advanced. Employer systems may save drafts automatically. Stopping or cancelling Tempra cannot recall information already received by an employer or another independent third party.

4. AI-generated and automated content

Except for information you enter or change manually, AI models and automated rules copy, generate, infer, or select the substantive application responses Tempra enters. No Tempra employee reviews and approves every response before entry.

AI and automation can misunderstand a question or your profile. They can produce or select information that is false, incomplete, inconsistent, biased, outdated, unsuitable, unsupported, invented, or embellished. Errors can concern names, contact details, dates, employers, job titles, experience, projects, metrics, education, licenses, skills, compensation, availability, work authorization, sponsorship, criminal or government history, veteran or disability status, demographic information, legal attestations, or employer-contact preferences.

Tempra does not instruct its models to invent projects, experience, credentials, or metrics you did not provide. AI can still make mistakes, infer an unsupported detail, or select a poor option.

The Service is probabilistic and nondeterministic. The same or similar input can produce different answers, plans, control selections, timing, or outcomes. The agent can hallucinate facts, misread page state, choose an unexpected route, fail to follow an instruction, or act before an error is visible. These characteristics are inherent risks of using an autonomous AI agent rather than promises that every error is unavoidable or legally excused.

You are responsible for reviewing your saved profile, resume, preferences, and instructions before starting an application. If Tempra gives you an opportunity to review the employer form, you are also responsible for reviewing and correcting it. You understand that a review opportunity may not occur before submission. Do not instruct Tempra to apply using information or a certification you cannot truthfully make. Tempra does not determine whether an answer is legally sufficient for your circumstances and does not provide legal, immigration, tax, medical, financial, or employment advice. Obtain appropriate professional advice when needed.

Tempra does not guarantee the accuracy, truthfulness, completeness, consistency, legality, suitability, or noninfringement of AI-generated or automatically selected content. To the fullest extent permitted by law, you accept the risks of directing an AI agent to apply for you and are responsible for the profile, resume, instructions, application content, selections, certifications, and submissions made under that direction, including content you do not review before transmission. This allocation does not waive a right or remedy that applicable law does not allow you to waive.

The AI Disclosure provides a shorter explanation of where Tempra uses AI, what information the models receive, what they may produce or select, and the controls and limitations that apply. It supplements these Terms and the Privacy Policy; it does not replace or reduce them.

5. Autonomous actions, review opportunities, and submission risk

Tempra automatically types, selects, uploads, scrolls, and clicks on websites we do not control. Employer sites may use ambiguous labels, change without notice, save fields as they are completed, submit after an intermediate action, respond unexpectedly to Enter or another control, or fail while an action is in progress. AI models, browser automation, software defects, timing, network failures, duplicate events, and provider behavior can also cause unintended results.

Jobs-tab Autopilot intentionally submits without a review step. For applications opened through Applications, the Service may attempt to pause when it recognizes a final “Submit” action, but no technical rule can identify every submission path on every changing third-party website. An application may be partially saved, transmitted, advanced, duplicated, accepted, certified, or submitted before you review it. Tempra may incorrectly report whether an employer received an action. Starting automation authorizes the application agent to act on your behalf despite that risk and authorizes a resulting submission as your application. Product pages and support messages are not a promise that review will always occur before submission.

What “Submitted” means for Autopilot. The automated screenshot comparison found an apparent submission acknowledgment or found that the original application form had been replaced by a different page or state after the final click. The same form with validation errors or a CAPTCHA does not pass that check. This is an automated assessment of the visible page, not independent verification that the employer received or stored a complete, accurate application. An incorrect assessment is possible; the status does not guarantee employer acceptance or review.

Monitor the hosted browser when practical. Use cancellation controls where available if you observe unexpected activity; for a committed Autopilot batch, contact us promptly about security, privacy, or legal concerns under Section 3. Before retrying an uncertain action, check the employer portal, email, and any confirmation page to avoid a duplicate application. If a worker crashes or loses its connection after clicking Submit but before checking the result, Tempra can record Failed even though the employer may have received the application. For a new Autopilot batch, that Failed attempt can cause a different authorized matching job to replace it while the slot keeps its credit; it does not by itself return the credit or prove that the employer received nothing. Manually retrying the original job can create a duplicate. Contact the employer directly if you need to correct or withdraw information. Tempra cannot promise that an employer will permit a correction or withdrawal.

To the fullest extent permitted by law and subject to Sections 15 and 16, Tempra does not assume responsibility for independent conduct by an employer or third-party website that Tempra did not cause or contribute to and could not reasonably control. Claims arising from Tempra's Service, including the models and providers Tempra selects to deliver its core features, remain subject to the warranty disclaimers and liability limits below, including all nonwaivable exceptions.

6. No employment or application guarantees

Tempra does not guarantee that:

  • an employer permits automated assistance;
  • every field or page will be detected, completed, or formatted correctly;
  • an application will be complete, accurate, unique, timely, accepted, submitted, or received;
  • a resume or answer will satisfy an employer's requirements;
  • an employer will review or respond to an application;
  • use of Tempra will improve ranking or candidacy; or
  • you will receive an interview, offer, particular compensation, sponsorship, visa, or employment.

Usage numbers, testimonials, examples, estimates, and marketing statements do not promise a particular result. Employment outcomes depend on you, employers, labor-market conditions, third-party websites, and other factors outside Tempra's control.

7. Your responsibilities

You agree to:

  • provide information and documents you are authorized to use;
  • keep your account and employer credentials secure and promptly report suspected compromise;
  • keep your profile and resume accurate and current;
  • review generated content, sensitive answers, consent choices, and certifications;
  • comply with applicable law and with employer-site restrictions or instructions you know or reasonably should know prohibit your requested use;
  • make any disclosure about automated assistance that an employer or applicable law requires;
  • avoid duplicate, deceptive, discriminatory, harassing, fraudulent, or spam applications; and
  • use the Service only for roles you have a good-faith interest in pursuing.

You may not:

  • share, sell, rent, transfer, or sublicense your account or credentials, or permit another person to use your account to apply in that person's name;
  • resell the Service or use it to operate an unauthorized application service for other people;
  • evade or manipulate plan limits, application-credit rules, queues, admission controls, rate limits, technical safeguards, or billing controls;
  • use a stolen or unauthorized payment method, provide materially false billing information, or engage in payment, refund, promotion, or credit fraud; this restriction does not prevent a good-faith billing dispute or any chargeback or remedy available by law;
  • access Tempra through a bot, crawler, script, scraper, bulk client, or other automated means unless that access occurs through a feature, interface, or API Tempra expressly provides for that purpose;
  • scrape, index, harvest, reproduce, publish, or redistribute a material part of the Service or its content without permission, including information concerning another user;
  • probe, scan, test, or exploit a vulnerability without prior written permission from jason@usetempra.com; if you believe you found a security issue, email that address and do not test Tempra systems without that permission;
  • impersonate another person, misrepresent qualifications, bypass authentication or access controls, introduce malware, interfere with or overload the Service, reverse engineer restricted components, violate another person's privacy or intellectual-property rights, or cause Tempra to process data unlawfully.

Tempra remains responsible for operating its own Service lawfully. Tempra will not knowingly evade an employer site's access controls or ask you to assume responsibility for conduct caused solely by Tempra's own operation.

You are responsible for people whose information you include, such as references, and for providing any required notice or obtaining any required permission. Do not place Social Security numbers, government-ID scans, complete payment-card details, passwords, medical records, confidential employer information, or other unnecessary sensitive material in your profile, resume, or support messages.

8. Third-party websites and providers

Company icons displayed on the Jobs board load from third-party hosts, including employers, Ashby, Greenhouse, and Google favicon services. Loading an icon sends the network and request information described in the Privacy Policy to its host.

The Service depends on employers, applicant-tracking systems, hosted browsers, AI models, authentication, payment, hosting, storage, and queue providers. Their availability, content, rules, security, and conduct may change and are not fully controlled by Tempra. Their terms and privacy notices can apply separately to you or to the information they process.

An employer or applicant-tracking system may detect or infer the use of automation or third-party assistance. It may display a challenge, require manual action, rate-limit or block a session, restrict an account, flag or reject an application, or take another action under its own rules. Tempra does not represent that its assistance is undetectable, permitted by every employer, or capable of avoiding anti-automation controls. Detection or blocking may interrupt an application or affect how an employer handles it.

You are responsible for determining whether your use complies with an employer site's instructions. Tempra does not promise to bypass CAPTCHAs, multifactor authentication, employer login requirements, anti-automation measures, or other controls. Complete steps requiring personal judgment, identity verification, a signature, or additional authorization yourself.

Tempra can suspend support for a site, provider, model, or feature when needed for security, legal compliance, reliability, or provider availability. We do not guarantee continued compatibility with any particular employer or platform.

9. Diagnostic records and privacy

Tempra requests that Anchor Browser continuously record the visual hosted-browser session from creation through sign-in, setup, automation, and review until the session ends. When the provider honors that configuration, it creates an MP4 recording that can contain login activity, information typed or pasted when it appears on screen, profile and resume information, sensitive application responses, employer content, and other browser content. Tempra does not configure microphone audio, webcam capture, or a separate underlying keystroke-event log through this feature, although visible input can appear in the video.

Tempra also creates a diagnostic record for each managed application, although an early failure may leave only application or job-status records. Depending on the stage reached, those records may include application/page identifiers and timestamps, page titles, form questions and options, detected control locations, processing strategies, retries, status and error events, structured extraction data, and annotated still screenshots of employer pages.

Jobs-tab Autopilot also captures full-page screenshots before filling the form and after a final-submission click. Tempra sends the starting image to Google Gemini to check form availability, and both images to check the result. These screenshots can contain profile information, entered answers, uploads, and sensitive disclosures. Tempra retains screenshots and AI verdicts as private application-level artifacts when storage succeeds, subject to the access, retention, and deletion rules in the Privacy Policy.

Tempra and authorized providers may access browser recordings and diagnostic records to provide and secure the Service, troubleshoot, support users, investigate unintended actions, assess quality, and improve the safety and reliability of Tempra. The Privacy Policy describes recording notice and acknowledgment, providers, access, retention, deletion, and user rights. Your use of the Service does not authorize Tempra to sell diagnostic information, use it for targeted advertising, or use it for an undisclosed incompatible purpose.

10. Accounts, suspension, and termination

You are responsible for activity that you or a person you authorize initiates through your account and for using reasonable care to protect account access. Your application-specific Start instruction or separately acknowledged Jobs-tab queue confirmation includes the autonomous application actions described in Sections 3–5 even if you do not review each individual action. It does not include activity outside the application and scope you selected. Notify us promptly if you believe the account is compromised. We may restrict, suspend, or terminate access when reasonably necessary to protect the Service or another person; investigate fraud, abuse, security risk, or a legal violation; comply with law or a provider requirement; address nonpayment; or enforce these Terms. When practical and lawful, we will provide notice and an opportunity to address the issue.

You may stop using the Service and request account deletion using the available account controls and the methods described in Account Deletion. A verified account-deletion event currently disables the account, requests cancellation of unfinished Tempra work, and requests that Clerk end paid subscription items and the sign-in identity. That request is not a billing receipt. If a charge still appears, contact jason@usetempra.com before the next renewal. Use the application's cancellation and browser-close controls when available if work needs to stop promptly. Application cancellation, account erasure, subscription cancellation, and employer withdrawal have separate effects. Account deletion cannot recall an employer's copy of an application. Data handling after termination is governed by the Privacy Policy and applicable law.

Sections that by their nature should survive termination survive, including payment obligations, ownership, disclaimers, liability limitations, dispute terms, and provisions concerning prior use.

11. Plans, subscriptions, credits, and refunds

Paid plans, prices, billing intervals, automatic-renewal terms, included credits, and material restrictions are shown before purchase. Charges are in U.S. dollars unless checkout says otherwise. Payment is processed through Clerk Billing (Stripe). By starting a recurring subscription, you authorize the disclosed recurring charges until cancellation takes effect.

Recurring-billing consent is separate from general acceptance of these Terms. Before we collect billing information, checkout shows the price, billing frequency, first-charge timing, renewal term, cancellation method, and material credit restrictions. After enrollment, you receive a confirmation you can keep. Cancel in Plan & billing in your account, which uses Clerk's online cancellation. Cancellation is at least as easy as enrollment, stops future renewal, does not require an unnecessary support conversation, and provides a confirmation. A retention offer will not delay or replace a cancellation request.

Current credit grants:

  • Free: the first 100 Tempra accounts receive 3 one-time application credits. Later Free accounts receive none. Free credits do not renew.
  • Plus: 100 application credits each paid monthly billing period.
  • Pro: 300 application credits each paid monthly billing period.

Application credits are limited service entitlements, are not money or stored value, are nontransferable, and have no cash value except where law requires otherwise. A credit pays for the disclosed application preparation or Autopilot application slot, not an interview or job outcome. Unused paid credits do not roll over into a later billing period. A credit already reserved for an unfinished Autopilot slot remains assigned to that slot and its authorized replacements without requiring a new credit after a billing-period change. A refund of a credit from an expired period cannot increase a new period's grant.

Applications opened through Applications: Normal mode reserves 1 credit when you create the application. Fast mode, where available, reserves 3 credits. Ashby and Greenhouse applications use Normal mode. Your mode choice locks when the application is created and its credits are reserved. To choose another available mode, cancel before Start and create a new application. Cancellation before Start ordinarily restores the reserved credits. After Start, cancellation can remain charged even while work is queued. A completed preparation consumes the reserved credits even if you choose not to submit. Certain employer-login interruptions and historical uncertain submission outcomes can remain charged. Other eligible failures can restore the reserved credits. A returned application credit is not a cash refund.

New Jobs-tab Autopilot batches: Normal mode costs 1 credit per requested application slot. Confirming N slots reserves N credits immediately and reduces your available balance, including while the jobs wait in line. You must have enough available credits for the entire batch. Confirmation commits the batch under Section 3; ordinary queue clearing and application cancellation are unavailable for those slots.

Each slot keeps the same reserved credit through its original job and up to three different matching replacements. An unavailable form, permanently unstartable job, failed submission check, AI-provider error, timeout, worker failure, or another terminal automation failure can end an individual attempt. That failure does not return the credit to your spendable balance or require payment for the replacement. Submitted consumes the slot's credit once. If the original job and all three replacements fail, the slot ends without a Submitted result and its credit is returned. If the authorized matching pool runs out earlier, the slot ends and its credit is returned then; Tempra does not keep a credit for replacements it cannot provide. Temporary service, account, daily-limit, or required-notice blockers pause unfinished work with its credit reserved. These limits mean the requested count is a target, not a guarantee of N submissions. Returned credits remain subject to their original billing period and are not cash refunds.

Jobs selected individually or through multi-select: New waiting queue items also reserve 1 credit each immediately, but they do not receive automatic replacements. A Submitted result consumes that item's credit; an eligible terminal failure or cancellation returns or settles it under the disclosed rules for that queue. The committed-batch restriction above applies to Autopilot batches.

Earlier queues: The confirmation and credit rules recorded when an earlier queue was created continue to define that queue's commitment. Restoring an old skipped item does not create consent to the new non-cancellable Autopilot commitment or to different replacement jobs. Restored items without a prior credit hold reserve one credit at admission and use the valid saved profile captured then. Eligible failures for those items return their held credit, and restoration alone supplies no replacement pool. These Terms do not retroactively remove an earlier queue's cancellation rights.

The current one-click deletion path requests that Clerk end each configured paid subscription item before it deletes the Clerk identity. That request is not a billing receipt. If a charge still appears after deletion, contact jason@usetempra.com before the next renewal. If you want to keep the account and only stop paid renewal, use Plan & billing instead of deleting the account.

Unless a refund is required by law or an express written refund policy says otherwise, fees already paid are nonrefundable and unused credits are not redeemable for cash. Nothing in this Section limits a cooling-off, cancellation, refund, chargeback, or other remedy that applicable law requires. Contact jason@usetempra.com about billing errors.

Tempra does not currently offer a card-required free trial. If you are a Connecticut consumer and applicable law requires additional written material terms and a separate written acceptance before Tempra may charge you, Tempra will provide that notice and obtain that acceptance. Agreeing to these Terms is not that additional acceptance if the law requires a distinct one.

12. Your content and license to operate the Service

As between you and Tempra, you retain the rights you hold in your profile, resume, application content, and other material you provide (“Your Content”). You grant Tempra a limited, worldwide, nonexclusive license to host, copy, format, transmit, and otherwise process Your Content only as reasonably necessary to provide, secure, support, troubleshoot, test, evaluate, and improve the reliability and safety of the Service as described in these Terms and the Privacy Policy, comply with law, and exercise or defend legal claims.

This license does not authorize Tempra itself to sell or license Your Content to an AI lab or another party for compensation, model training, data brokerage, or targeted advertising. Tempra may use Your Content and diagnostic records for human review, testing, evaluation, debugging, security, and improvement of Tempra as described in the Privacy Policy. To provide the AI features, Tempra submits Your Content to AI providers, currently including DeepSeek, Google Gemini, Alibaba Cloud Qwen, and OpenAI on the routes then in use. Depending on the provider, service tier, account setting, and applicable terms, a provider may ingest, retain, review, use for service or model improvement, or use to train AI systems. Tempra does not guarantee that every provider excludes those uses. By using the AI application Service after receiving the Privacy Policy and AI Disclosure, you instruct Tempra to make those provider disclosures for the application you start.

The license ends when Your Content is no longer needed for the authorized purposes, subject to the retention, deletion, provider, employer, backup, and legal limits disclosed in the Privacy Policy.

You represent that you have the rights and permissions needed for Your Content and its instructed use. Tempra may remove or restrict content that reasonably appears unlawful, unsafe, infringing, or outside the Service's intended use.

13. Tempra materials

The Service, software, interface, branding, documentation, and other Tempra materials are owned by Tempra or its licensors and protected by law. Subject to these Terms, Tempra grants you a limited, personal, nonexclusive, nontransferable, revocable right to use the Service for your own lawful job search during your authorized access. No other right is granted by implication.

If you send feedback, you permit Tempra to use it without restriction or payment, provided we do not publicly identify you or disclose personal information in doing so unless you consent. Feedback does not include Your Content or diagnostic records.

14. Changes and availability

We may update the Service and these Terms. If a change materially affects your rights or obligations, we will provide the notice and obtain the agreement required by applicable law. Changes do not retroactively govern a dispute that arose before the change where the law does not permit that result.

We may impose reasonable limits, maintenance periods, or feature changes. We will not represent a material paid feature as available when we know it is not. If we permanently discontinue a prepaid service before delivering it, we will provide the remedy required by the applicable plan terms and law.

15. Disclaimer of warranties

EXCEPT FOR AN EXPRESS WRITTEN COMMITMENT TEMPRA MAKES IN THESE TERMS, THE PRIVACY POLICY, A PLAN OR CHECKOUT DISCLOSURE, OR ANOTHER CUSTOMER-FACING WRITTEN PROMISE, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, HOSTED BROWSER, AUTOMATION, AI-GENERATED CONTENT, DIAGNOSTIC FEATURES, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TEMPRA DISCLAIMS IMPLIED AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

TEMPRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, AVAILABLE, COMPATIBLE WITH ANY SITE, OR ERROR-FREE; THAT AI OUTPUT WILL BE ACCURATE, TRUTHFUL, COMPLETE, UNBIASED, OR SUITABLE; THAT AUTOMATION WILL RECOGNIZE EVERY QUESTION OR CONTROL; THAT A REVIEW OPPORTUNITY WILL OCCUR BEFORE ANY SAVE, TRANSMISSION, CERTIFICATION, OR SUBMISSION; THAT AN EMPLOYER WILL RECEIVE, CONSIDER, OR RESPOND TO AN APPLICATION; OR THAT THE SERVICE WILL PRODUCE ANY EMPLOYMENT RESULT.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, an exclusion applies only to the extent permitted. Nothing in this Section contradicts an express written commitment by Tempra or limits a duty that cannot legally be disclaimed.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEMPRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS (COLLECTIVELY, THE “TEMPRA PARTIES”) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST OPPORTUNITIES, EMPLOYMENT, COMPENSATION, PROFITS, REVENUE, BUSINESS, REPUTATION, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE, AI OUTPUT, AN EMPLOYER OR THIRD-PARTY SITE, AN APPLICATION, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TEMPRA AND THE OTHER TEMPRA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TEMPRA FOR THE SERVICE DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply across all legal theories and even if a limited remedy fails of its essential purpose. They do not apply to liability that cannot lawfully be excluded or limited, which may include liability for fraud, willful misconduct, willful injury, gross negligence where nonwaivable, certain personal injury, unlawful conduct, breach of nonwaivable privacy or security duties, or mandatory statutory remedies. The laws of some jurisdictions provide additional exclusions; in that case, liability is limited only to the maximum lawful extent.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Tempra and its officers, directors, employees, and affiliates from third-party claims, damages, judgments, losses, and reasonable legal costs arising from: (a) content or information you provide that infringes another person's rights or is materially false; (b) your unauthorized use of another person's account, credentials, documents, or information; (c) your deliberate violation of law or a third-party site's rules; or (d) an application, answer, selection, certification, communication, or submission made within the scope of the application-specific instruction and authority you gave the Service.

This obligation does not apply to the extent a claim was caused by Tempra's breach of these Terms, activity outside the scope of your application instruction, negligence or misconduct that cannot lawfully be shifted to you, unlawful processing, or another liability that applicable law does not permit Tempra to transfer. Tempra will give reasonable notice of a covered claim, permit you to participate in the defense, and will not require you to fund a settlement that admits wrongdoing by you or imposes a nonmonetary obligation on you without your consent.

18. Disputes, governing law, and mandatory rights

Contact jason@usetempra.com first so the parties can try to resolve a concern informally. Nothing prevents you from submitting a privacy or consumer complaint to a regulator or exercising a right that cannot be restricted.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules that would choose another jurisdiction's law. Subject to mandatory consumer protections of your home jurisdiction, you and Tempra agree that the state courts located in Contra Costa County, California, and the United States District Court for the Northern District of California, have exclusive jurisdiction over disputes arising out of or relating to the Service or these Terms, and you and Tempra consent to venue in those courts. There is no arbitration agreement and no class-action waiver in these Terms.

No provision of these Terms waives or limits a right or remedy that applicable law makes nonwaivable. An unenforceable provision will be enforced to the maximum lawful extent or severed as the applicable law permits, while the remaining provisions continue.

19. General terms

These Terms, the plan and checkout disclosures, and any feature-specific terms presented to you form the agreement concerning the Service. The Privacy Policy is a separate notice and controls Tempra's description of its personal-information processing. If contractual documents conflict, the feature-specific or checkout term controls for its subject unless applicable law requires another result.

You may not assign these Terms without our consent. Tempra may assign them in connection with a merger, acquisition, reorganization, or sale of the relevant business, subject to applicable law and the Privacy Policy. Failure to enforce a provision once is not a waiver. Headings are for convenience. “Including” means “including without limitation.” Electronic notices and acceptances have the effect permitted by law.

Electronic notices. Tempra may send operational, legal, billing, security, or account notices to the email address associated with your account, through a conspicuous in-Service notice, or by another method you have agreed to. This section does not authorize promotional product-update or offer emails. Those messages require a separate opt-in described in the Privacy Policy. You are responsible for keeping your account email address current. A website posting alone will not replace affirmative agreement when applicable law or Section 14 requires it. Notices to Tempra must be sent to jason@usetempra.com and are effective when actually received, except where applicable law requires another rule.

Events beyond reasonable control. To the extent permitted by law, neither party is responsible for delay or failure to perform a nonpayment obligation caused by an event beyond that party's reasonable control, such as a widespread internet, cloud, utility, communications, or third-party-platform outage; natural disaster; fire; epidemic; labor disruption; war; civil disorder; government action; or cyberattack that reasonable safeguards could not prevent. The affected party must use reasonable efforts to reduce the effect, communicate material delay when practical, and resume performance. This provision does not excuse a failure that the party could reasonably have prevented or mitigated, eliminate an express confidentiality, privacy, security, deletion, or breach-notification commitment, or limit a refund, consumer-protection, or other obligation that applicable law makes nonwaivable. It permits only a reasonable delay in an affected performance obligation to the extent the event actually prevents timely performance and the law permits the delay.

Relationship of the parties. These Terms do not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship, or general legal agency between you and Tempra. The Service functions as a customer-directed electronic agent and tool only for the specific application and authority described in Section 3. That limited authority does not make Tempra your attorney-in-fact or give Tempra broader authority to make personal, professional, legal, or employment decisions for you.

Export controls and sanctions. You may not access, export, re-export, transfer, or use the Service when that conduct is prohibited by applicable United States or other export-control, trade-sanctions, or import law, or for an end use prohibited by that law. Tempra may restrict access when reasonably necessary to comply with such requirements.
